These Terms & Conditions (“Terms”) govern your use of the Flosswell website (www.flosswell.com.au), digital products, templates, and any current or future Flosswell applications or services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. About Flosswell
Flosswell provides digital tools, templates, and resources designed for dental professionals and related business operations.
Our Services may include:

2. Eligibility
By using Flosswell, you confirm that:

You are at least 18 years old, or using the Services under the supervision of a qualified business or professional

You are using the Services for lawful business or professional purposes

You have authority to enter into these Terms
3. Account access (current or future apps)
Some Services may require an account.
If you create an account:

You are responsible for maintaining the confidentiality of your login details

You are responsible for all activity under your account

We reserve the right to suspend or terminate accounts at our discretion if misuse is suspected
Authentication may be provided via third-party services such as Google. We are not responsible for the security practices of third-party authentication providers.
4. Digital products and licensing
All Flosswell digital products, templates, and resources are licensed—not sold.
When you purchase or download a product, you are granted a non-exclusive, non-transferable, single-business licence to use the product.
You may:

Use templates within your own business or dental practice

Modify templates for internal operational use
You may NOT:

Resell, redistribute, or share Flosswell products

Upload products to public repositories or marketplaces

Claim Flosswell templates as your own

Use products to create competing template libraries or SaaS products
All intellectual property remains the property of Flosswell.
5. Payment terms
All prices are listed in AUD unless otherwise stated.
Payments are processed through third-party providers such as:

Wix Payments

Stripe
-
PayPal
-
Other approved payment processors
We do not store full payment card details.
You agree to provide accurate billing information and authorise us to charge the applicable fees for purchases made.
6. Refunds and digital goods policy
Due to the nature of digital products, all sales are generally final and non-refundable once a product has been downloaded or accessed.
Refunds may be granted at our sole discretion in cases such as:

Duplicate purchase

Technical errors preventing access

Verified major product defects

Flosswell does not provide legal, medical, dental, or regulatory advice. Nothing in the Services should be interpreted or relied upon as:

advice tailored to any specific dental practice or patient circumstance
You acknowledge and agree that:

You are solely responsible for the selection, use, modification, and implementation of any Flosswell templates, forms, or systems

You are solely responsible for ensuring compliance with all applicable laws, regulations, and professional standards, including but not limited to Australian healthcare, privacy, consent, and record-keeping obligations

Any reliance on Flosswell materials is entirely at your own risk
Flosswell expressly disclaims any liability for:

how templates or documents are used, completed, or interpreted

any errors, omissions, or inaccuracies in completed documents
-
any legal, regulatory, professional, or clinical consequences arising from their use

any loss, claim, or damage resulting from the use or misuse of the Services
Where Flosswell provides templates such as patient forms, consent documents, or practice policies, these are provided as general starting points only and must be reviewed, adapted, and approved by qualified professionals before use in a clinical or patient-facing environment.
9. App and software services (future or current)
Flosswell may provide software-based services including web applications, dashboards, or Google AppSheet-based tools.
These services:

May include updates, feature modifications, or discontinuation of features

Are provided on an “as available” basis
We are not liable for temporary outages, service interruptions, or platform limitations caused by third-party providers (including Google or Wix).
10. Third-party services

Google (AppSheet, Sheets, Cloud services, authentication)

Payment processors

Email and analytics providers
We are not responsible for the availability, performance, or privacy practices of third-party services.
11. Intellectual property
All content, including but not limited to:

Designs

Branding

Software logic

Documentation

Training materials
is owned by or licensed to Flosswell.
You are granted limited usage rights as described in Section 4.
Unauthorised reproduction or distribution is strictly prohibited.
12. Indemnity and limitation of liability
12.1 Indemnity
You agree to indemnify, defend, and hold harmless Flosswell, its directors, employees, contractors, and affiliates from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or related to:

your use or misuse of the Services;

your reliance on any templates, documents, or materials provided by Flosswell;

your modification or implementation of any Flosswell content in your business or practice;

your failure to comply with applicable laws, regulations, or professional obligations;

any data, content, or information you input into the Services;

any breach of these Terms by you.
This indemnity applies to claims made by third parties, including patients, clients, employees, regulators, or other external parties.
12.2 Limitation of liability
To the maximum extent permitted by law, Flosswell excludes all liability for any loss or damage arising in connection with the Services, whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to:

loss of profits, revenue, or business opportunity;

loss of data or business interruption;
-
reputational damage;
-
regulatory action or penalties;
-
errors or omissions in templates, forms, or documentation;
-
outcomes arising from the use or completion of Flosswell materials in a clinical or professional setting.
Where liability cannot be fully excluded under law, Flosswell’s total aggregate liability for any claim arising out of or in connection with the Services is limited to the greater of:

the total amount paid by you to Flosswell for the Services in the 12 months preceding the event giving rise to the claim; or
-
AUD $100.
12.3 No liability for third-party services
You acknowledge that the Services rely on third-party providers, including but not limited to Wix, Google (including AppSheet and Google Cloud services), payment processors, and analytics providers.
To the maximum extent permitted by law, Flosswell is not responsible or liable for:

outages, interruptions, or failures of third-party services;
-
data loss or corruption caused by third-party systems;
-
security breaches or issues occurring within third-party infrastructure;
-
changes to third-party functionality that impact the Services.
12.4 Essential basis of agreement
You acknowledge that:

Flosswell has set its pricing and offers its Services in reliance on the limitations and exclusions of liability set out in these Terms;

these limitations are an essential basis of the agreement between you and Flosswell; and
-
without these limitations, Flosswell would not be able to provide the Services on the same terms or pricing.
13. Service availability and changes
We may:

Modify or update Services at any time

Add or remove features
-
Suspend Services temporarily for maintenance or updates

Discontinue Services if required
We are not liable for any loss arising from such changes.
14. Termination
We may suspend or terminate your access to Services if:

You breach these Terms

We suspect fraudulent or abusive behaviour

We are required to do so by law
Upon termination, your licence to use Flosswell products will cease immediately.
15. Privacy
Your use of Flosswell is also governed by our Privacy Policy, which explains how we collect and manage your personal information.
16. Governing law
These Terms are governed by the laws of Queensland, Australia.
Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.
17. Changes to these Terms
We may update these Terms from time to time as Flosswell evolves.
